1. INTRODUCTION AND ACCEPTANCE
These Terms of Service ("Terms") govern your 982 membership, your access to and use of the 982 community, application, events, dinners, and digital resources, and your eligibility to book trips offered through 982.
982 is operated by Barletta Digital, the sole proprietorship of Benjamin Barletta, Rockenauerpfad 19, 69190 Walldorf, Germany ("982", "we", "us", or "our").
By submitting an application, completing a payment, accepting these Terms at checkout, signing the Membership Agreement, being onboarded into the 982 community, or otherwise using any 982 service, you confirm that you are at least 18 years old, that you are lawfully able to enter into a binding contract, and that you agree to be bound by these Terms in full.
These Terms form a binding contract between you and Barletta Digital. If you do not agree with these Terms, you must not apply, pay, or use any 982 service.
These Terms sit alongside, and are supplemented by, the Membership Agreement and the Non-Disclosure Agreement (NDA) you sign, and, for trip bookings, the 982 Trip Allocation Terms published at unlocking982.com. Together these documents form the complete agreement between you and 982.
2. DEFINITIONS
For these Terms:
"Member" means an individual who has been accepted into 982 and has paid the Annual Access Fee (or holds equivalent Member Credit).
"Annual Access Fee" or "Annual Fee" means the fee payable for one 12-month Membership Year. The current Annual Access Fee is EUR 3,000.
"Membership Year" means the 12-month period of your membership, beginning on the commencement date defined in Section 5. Every Membership Year runs for 12 months.
"Membership Services" means the community, application, events, dinners, introductions, digital resources, and other benefits described in Section 3, delivered on a continuous and rolling basis throughout the Membership Year.
"Trip" means a curated group experience organised by 982 and listed in the 982 Trip Allocation Form for the relevant period.
"Trip Cost" means the total published price of a given Trip at the time of booking.
"Onboarding" means admission to the private 982 WhatsApp group or groups and whitelisting of your account on the 982 application.
"Member Credit" means any pre-paid balance, credited amount, or discount code held by you with 982, governed by the same terms as the Annual Access Fee.
"Membership Agreement" and "NDA" mean the Membership Agreement and Non-Disclosure Agreement signed between you and 982, which remain in force alongside these Terms.
"Trip Allocation Terms" means the 982 Trip Allocation Terms for the relevant period, published at unlocking982.com.
"Force Majeure Event" means any event beyond 982's reasonable control, including natural disasters, extreme weather, pandemics, war, terrorism, civil unrest, strikes, government restrictions, border closures, and vendor failure.
3. WHAT YOUR MEMBERSHIP IS AND WHAT YOU ARE PAYING FOR
3.1 THE MODEL
982 membership operates on a single annual access fee. The Annual Access Fee secures your membership for one 12-month Membership Year and includes the right to redeem that fee, in full, as credit against the cost of one Trip during the Membership Year.
There is no separate or additional membership fee. The membership and the right to attend a Trip are part of the same single annual fee. You are paying to be a member of 982 for the year. The Trip is a benefit you may redeem against. It is not a separate purchase, and it is not the entirety of what you are buying.
3.2 THE ANNUAL ACCESS FEE
The current Annual Access Fee is EUR 3,000, payable in full.
The Annual Access Fee is the price of your 982 membership for the Membership Year. It is described at the point of sale, on the application form, at checkout, and in the Membership Agreement you sign. The amount you actually pay and accept at checkout is the amount that governs, regardless of any historic or general figure stated elsewhere.
3.3 WHAT YOUR MEMBERSHIP INCLUDES
During the Membership Year, your membership includes, without limitation:
Access to the private 982 member community and its communication channels, including the 982 WhatsApp group or groups.
Access to the 982 application and its features, including the member directory, community feed, and curated digital resources.
Eligibility to attend 982 members-only dinners, subject to capacity and invitation.
Eligibility to attend 982 networking events, subject to capacity and invitation.
Introductions, curated connections, and deal flow within the 982 network, at 982's discretion.
The right to redeem the Annual Access Fee, in full, as credit against the Trip Cost of one Trip during the Membership Year.
Any additional benefits or experiences announced to members from time to time during the Membership Year.
3.4 REDEEMABLE, NOT REFUNDABLE
The Annual Access Fee is redeemable. Redeemable means you may apply the fee, in full, as credit against the cost of one Trip during the Membership Year.
Redeemable does not mean refundable. No part of the Annual Access Fee is returnable, payable, or convertible to cash at any time, under any circumstances. If you choose not to redeem your fee against a Trip, the fee stands in full as payment for your membership for the year. It is not returned, and it does not roll forward to any future year, product, or service.
3.5 TERM AND EXPIRY
Membership under the Annual Access Fee runs for one Membership Year, being 12 months from the commencement date. Membership does not automatically renew and does not roll over into any subsequent year unless renewed in accordance with Section 11.
4. BENEFITS SUBJECT TO AVAILABILITY
The specific benefits described in Section 3 are subject to change, withdrawal, or substitution at 982's reasonable discretion. 982 does not warrant that any specific benefit, event, partner, dinner, introduction, or feature will be available at any particular time or throughout the Membership Year. Certain benefits, including dinners, events, introductions, and deal flow, are offered based on availability and invitation, and their volume in any given period is not guaranteed. Where a material benefit is permanently withdrawn, 982 will use reasonable efforts to offer a substitute of comparable value. No refund is owed on the basis that a particular benefit was not used, not attended, or not offered in a given period.
5. MEMBERSHIP ACTIVATION AND COMMENCEMENT OF SERVICES
5.1 COMMENCEMENT
Membership Services commence, and are deemed delivered as a continuous service, from the later of (i) the date your Annual Access Fee is received in cleared funds, or (ii) the date of your Onboarding. Services continue for the 12-month Membership Year.
5.2 EXPRESS REQUEST FOR IMMEDIATE PERFORMANCE
By paying the Annual Access Fee and accepting these Terms, you expressly request that 982 begin delivery of the Membership Services immediately upon payment and Onboarding, and before the expiry of any statutory withdrawal period. You acknowledge that performance of the Membership Services begins at that point and is materially performed on an ongoing basis from that date.
5.3 CONTINUOUS AND ROLLING DELIVERY
You acknowledge and agree that:
The majority of the Membership Services, in particular community access, application access, and networking, are delivered on a continuous and rolling basis throughout the Membership Year.
The Membership Services have independent value to you, separate from and regardless of any Trip redemption.
The Annual Access Fee is justified by the Membership Services alone, independent of whether you attend a Trip.
5.4 SINGLE INDIVISIBLE PACKAGE, NO PRO-RATA
The Membership Services are provided for the Membership Year as a single, indivisible service package. You are not entitled to any pro-rata refund, credit, rebate, or reduction based on (i) the date you joined or were onboarded, (ii) the date of any departure or termination, or (iii) the quantity or type of Membership Services you actually used. The choice not to use a benefit that was made available to you does not reduce the fee or create any right to a refund.
5.5 EVIDENCE OF DELIVERY
You acknowledge that 982 may rely on its internal records as evidence of the delivery of Membership Services, including WhatsApp membership logs, application access logs, event invitations and responses, deal and partner redemptions, and communications records.
6. BUSINESS USE REPRESENTATION
982 membership is offered as a business membership, intended for individuals acting in the course of their professional activities. By accepting these Terms, you represent and warrant that:
You are purchasing this membership in connection with your business, trade, or profession.
The benefits of membership, including networking, deal flow, introductions, professional learning, and business development, are sought by you for professional purposes.
Where you are resident in an EU member state or the United Kingdom and hold a valid VAT identification number, you will provide it. Members without a registered VAT ID confirm that they are nonetheless purchasing the membership for business purposes.
982 relies on this representation. You acknowledge that, where you purchase in the course of your business, you are not a consumer for the purposes of consumer protection law, and the statutory consumer right of withdrawal does not apply to you in any event.
7. ENTITY-PAID MEMBERSHIPS
Where the Annual Access Fee or any other sum due under these Terms is paid by a company, partnership, trust, or other entity associated with you (the "Paying Entity"), you remain the sole contracting party and are personally bound by these Terms, the Membership Agreement, and the NDA.
The Paying Entity acquires no rights whatsoever under these Terms, including no right of refund, reimbursement, chargeback, transfer of membership, trip attendance, or any other member benefit. The use of a business email address or business payment method does not transfer the contract to the Paying Entity and does not alter your personal obligations.
8. APPLICATION OF THESE TERMS TO ANY 982 PAYMENT
Any payment made by you, or by any entity on your behalf, to 982 for membership in respect of the relevant Membership Year, whether made in the current year or a prior year, and whether described as a "deposit," "down-payment," "access fee," "membership," or otherwise, is governed by and subject to these Terms. By accepting these Terms, you confirm that these Terms govern any such payment, and you ratify these Terms as applying to that payment from the date it was made.
9. ELIGIBILITY AND ACCURACY OF INFORMATION
9.1 ACCEPTANCE IS AT 982'S DISCRETION
Submitting an application and making a payment is an application to join, not an automatic contract of membership. 982 may accept or reject any application at its sole discretion. Where an application is rejected, 982 will refund the full amount paid within 14 days, and no further sum, cost, or damage is owed. The contract of membership is formed only when 982 accepts the application and grants access.
9.2 ACCURACY
By applying and throughout your membership, you represent that all information you provide to 982 (including your identity, profession, business activities, and public profile) is true, accurate, and complete, and you agree to update 982 promptly if anything material changes. Material misrepresentation or omission is a ground for immediate termination under Section 16, with no refund. 982 has sole discretion to determine whether a misrepresentation or omission is material.
9.3 ACCOUNT INTEGRITY
Membership is personal to you and non-transferable. You may not share, sell, lend, or transfer your account, your membership, or your access to another person. Any violation is a ground for immediate termination without refund. Transfer of a Trip place is permitted only as set out in the Trip Allocation Terms.
10. PAYMENT TERMS
10.1 CURRENCY
All prices are stated in EUR. For members paying in another currency, conversion occurs at the rate provided by the payment processor at the point of sale.
10.2 TAXES AND VAT
The Annual Access Fee is stated exclusive of VAT or other applicable taxes, which are calculated and added at checkout based on your country of residence and VAT status. Where you provide a valid EU or UK VAT ID and purchase for business purposes, the reverse charge mechanism may apply and you are responsible for accounting for VAT in your own jurisdiction. You are responsible for any personal tax arising from any benefit received through membership.
10.3 PAYMENT METHODS
Payment is processed through a third-party payment processor selected by 982. 982 remains the seller of record. You may be required to accept the processor's own terms at checkout, which govern the technical handling of the payment but do not affect the binding contract between you and 982.
10.4 ISSUED DOCUMENTATION
On receipt of payment, the payment processor issues a receipt to the email address used at checkout. You may request a copy of your receipt, the Membership Agreement, and the NDA at any time by emailing the address in Section 24. The absence of a separately issued invoice does not affect the validity of the contract or the fee.
11. TRIPS
11.1 TRIPS ARE A BENEFIT OF MEMBERSHIP
Eligibility to book a Trip is a benefit of 982 membership. The Annual Access Fee is redeemable, in full, as credit against the Trip Cost of one Trip during the Membership Year, subject to availability and to the booking deadline set in the Trip Allocation Terms.
11.2 TRIP ALLOCATION TERMS GOVERN BOOKING
Each Trip booking is subject to the 982 Trip Allocation Terms published at unlocking982.com, which set out the booking process, deadlines, balance payments, cancellation, transfers, and trip-specific liability. The redemption right is eligibility to book. It does not guarantee the availability of any particular Trip, date, or place.
11.3 TRIP TOP-UP COSTS
Trips carry a Trip Cost that may exceed the Annual Access Fee. Where the Trip Cost exceeds the Annual Access Fee, the difference (the balance) is payable by you in addition to the fee. Published Trip Costs vary by destination. Where the Trip Cost is equal to or less than the Annual Access Fee, no additional payment is required, and no refund, credit, or set-off is owed for any difference.
11.4 NON-REDEMPTION AND NON-ATTENDANCE
If you do not book and confirm a Trip by the booking deadline set in the Trip Allocation Terms, for any reason, the Annual Access Fee is deemed fully consumed as payment for the Membership Services delivered during the Membership Year. No Trip redemption is owed, no refund is payable, and no credit rolls forward. A choice not to attend, a change in your circumstances, or an inability to travel does not entitle you to any refund or to any cash value of the unredeemed fee.
11.5 TRIPS ORGANISED BY 982
Trips are organised and contracted by Barletta Digital under the Trip Allocation Terms. Disputes about a specific Trip are governed by those Terms.
12. NO REFUNDS
12.1 THE ANNUAL ACCESS FEE IS NON-REFUNDABLE
The Annual Access Fee is non-refundable under any circumstances, including but not limited to:
Voluntary cancellation by you at any point during the Membership Year.
A decision by you not to book or attend a Trip.
A change in your personal, professional, or financial circumstances.
Your dissatisfaction with the Membership Services or with the volume of dinners, events, or introductions in a given period.
Your choice not to use benefits that were made available to you.
Termination of your membership for breach of these Terms, the Membership Agreement, or the NDA.
Expiry of the Membership Year without redemption of the Trip credit.
Under no circumstances will a cash refund be issued. This applies equally to Member Credit, which is non-refundable in cash and cannot be converted to cash at any time.
12.2 REASON FOR THE NO-REFUND POLICY
982 delivers Membership Services immediately upon payment and Onboarding. From day one, you access the community, the application, the member directory, scheduled events and dinners, introductions, and curated resources. The Services are consumed continuously throughout the Membership Year. The no-refund policy reflects this immediate and continuous delivery, and the advance financial commitments 982 makes to organise events and Trips based on the number of paid memberships received.
12.3 DISCRETIONARY CREDIT IN EXCEPTIONAL CIRCUMSTANCES
Notwithstanding Section 12.1, 982 may, at its sole discretion, offer a discretionary credit in genuinely exceptional circumstances, such as serious illness or bereavement. Any such offer is a one-time discretionary decision, is made as credit and never as cash, does not establish any right to a refund or credit, and does not bind 982 in any future case.
13. CONSUMER RIGHTS AND WAIVER OF THE RIGHT OF WITHDRAWAL
13.1 BUSINESS MEMBERS
Members purchasing in the course of their business (Section 6) are not consumers and have no statutory right of withdrawal. Section 13.2 applies only to members who are not acting in the course of their business.
13.2 WAIVER OF THE WIDERRUFSRECHT (CONSUMERS ONLY)
In accordance with section 356(5) of the German Civil Code (BGB), where you are a consumer:
You expressly request that 982 begin providing the Membership Services immediately upon payment and Onboarding, and before the expiry of the statutory 14-day withdrawal period.
You acknowledge that performance of the Membership Services has commenced and is being delivered on a continuous basis.
You acknowledge that your statutory right of withdrawal expires upon full performance by 982, and you expressly waive your 14-day right of withdrawal under section 356(5) BGB and any equivalent national implementation, to the extent permitted by law.
You acknowledge that no refund will be issued once the Services have begun.
This waiver is presented as a separate, explicit acknowledgment at checkout and is confirmed by a separate action (such as ticking a dedicated checkbox) in addition to general acceptance of these Terms.
13.3 MANDATORY RIGHTS PRESERVED
Nothing in these Terms excludes any mandatory consumer protection right that cannot be excluded by contract under the law of your country of residence. These Terms apply to the maximum extent permitted by law.
14. NO CHARGEBACKS
14.1 ACKNOWLEDGMENT
You acknowledge that the Membership Services are delivered immediately upon payment and Onboarding, that you authorised the charge, that the fee is non-refundable as set out in these Terms, and that, where applicable, you have waived your right of withdrawal under Section 13.
14.2 NO-CHARGEBACK UNDERTAKING
You agree not to initiate a chargeback, payment reversal, or dispute with your card issuer, bank, or payment provider in respect of any payment made to 982 that is non-refundable under these Terms, except in the case of unauthorised use of your payment method resulting from theft or fraud.
14.3 DISPUTE RESOLUTION FIRST
If you believe a charge is incorrect, you agree to contact 982 in writing at the address in Section 24 before initiating any chargeback, and to give 982 a reasonable opportunity, of at least 14 days, to investigate and respond. Initiating a chargeback while a dispute is under review is itself a breach of these Terms.
14.4 CONSEQUENCES OF A WRONGFUL CHARGEBACK
Initiating a chargeback for a payment you authorised and that is non-refundable under these Terms is a material breach of these Terms. 982 is entitled to:
Contest the chargeback using these Terms, the Membership Agreement, the NDA, payment records, and access logs as evidence.
Terminate your membership immediately, with no refund.
Recover from you all reasonable costs incurred in responding, including administrative costs, payment-processor fees, and legal fees.
Recover liquidated damages equal to the disputed amount.
Permanently bar you from future membership in 982.
15. CONDUCT, MEMBERSHIP AGREEMENT, AND NDA
By becoming a member, you also agree to the Membership Agreement and the NDA, which contain the 982 Code of Conduct, confidentiality obligations, non-solicitation and non-poaching commitments, conduct standards in member spaces, and grounds for removal. The Membership Agreement and the NDA are incorporated into these Terms by reference. Breach of either is a ground for immediate termination under Section 16, with no refund. Where there is a conflict specifically in relation to the Annual Access Fee, Trip allocation, or Trip cancellation, the Trip Allocation Terms prevail. In all other matters, including confidentiality and conduct, the Membership Agreement and the NDA govern.
16. TERMINATION
16.1 TERMINATION FOR CAUSE
982 may terminate your membership immediately, with no refund, for:
Material breach of these Terms, the Membership Agreement, or the NDA.
Breach of confidentiality, non-solicitation, or the Code of Conduct.
Conduct that endangers other members or the operation of 982.
A wrongful chargeback (Section 14).
Material misrepresentation or omission of information (Section 9.2).
Sharing or transfer of your account or membership (Section 9.3).
16.2 EFFECT OF TERMINATION
Upon termination:
Your access to all 982 Services ends immediately.
No refund of any fee paid is owed.
Confidentiality and other surviving obligations under the Membership Agreement and the NDA continue to apply.
Any Trip booking is governed by the cancellation provisions of the Trip Allocation Terms.
16.3 RE-APPLICATION
Members terminated for cause are permanently barred from future membership. Members who voluntarily leave or are not renewed may re-apply, subject to 982's discretion.
17. FORCE MAJEURE
982 is not liable for any failure or delay in performance caused by a Force Majeure Event. In the event of a prolonged Force Majeure Event materially affecting the Services, 982 may suspend or modify the Services, extend the affected Membership Year by a reasonable period, or substitute affected benefits with comparable alternatives. No refund is owed solely on the basis of a Force Majeure Event. Trip-specific force majeure is governed by the Trip Allocation Terms.
18. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
982 is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your membership or use of the Services.
982's total aggregate liability to you for any claim arising out of or related to these Terms is limited to the amount you paid to 982 in the 12 months preceding the claim.
982 is not liable for any matter arising out of a Trip, which is governed by the Trip Allocation Terms.
982 is not liable for content posted by other members or for the conduct of other members.
Nothing in these Terms limits liability for death or personal injury caused by 982's gross negligence or intentional misconduct, or any other liability that cannot be limited under mandatory German law.
19. INDEMNIFICATION
You agree to indemnify and hold harmless Barletta Digital, its owner, employees, and agents from and against any claim, loss, damage, liability, cost, or expense (including reasonable legal fees) arising out of or related to your breach of these Terms, the Membership Agreement, or the NDA, your content, your interactions with other members, or your violation of any law or third-party right.
20. INTELLECTUAL PROPERTY AND CONFIDENTIALITY
All content provided by 982, including text, graphics, logos, images, recordings, and software, is the property of Barletta Digital or its licensors and is protected by applicable law. You are granted a non-exclusive, non-transferable, revocable licence to access and use this content for your personal, non-commercial use during your active membership. You may not reproduce, distribute, modify, or publicly display any 982 content, or any other member's information, without prior written permission. The confidentiality obligations in the NDA apply in full to everything you see, hear, or learn through 982.
21. DATA PROTECTION
982 processes your personal data in accordance with its Privacy Policy, published at unlocking982.com, and applicable data protection law, including the GDPR. For Trips involving travel, you consent to 982 sharing reasonably necessary personal data with relevant third-party providers for the sole purpose of delivering the Trip.
22. GOVERNING LAW AND JURISDICTION
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to conflict-of-laws principles, save where mandatory consumer protection law in your country of residence applies and cannot be excluded by contract. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the competent courts of Berlin, Germany, save where mandatory law requires otherwise. Trip-related disputes are governed by the Trip Allocation Terms.
23. GENERAL
23.1 MODIFICATIONS
982 may modify these Terms from time to time. Material changes will be communicated to members by email at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the modified Terms. If you do not agree with the modified Terms, you may end your membership at the effective date by giving written notice. No refund of fees paid is owed.
23.2 SEVERABILITY
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions continue in full force and effect.
23.3 ENTIRE AGREEMENT
These Terms, together with the Membership Agreement, the NDA, the Trip Allocation Terms, and the Privacy Policy, constitute the entire agreement between you and 982 in respect of your membership, and supersede all prior communications, promises, or understandings, including any marketing or promotional statement, to the extent of any inconsistency. These Terms supersede the Terms of Service for Trip Bookings with 982 dated 23.03.2025.
23.4 ASSIGNMENT
You may not assign or transfer your rights or obligations under these Terms. 982 may assign these Terms to a successor entity or affiliate, including in connection with the planned consolidation of 982 membership operations into an affiliated entity, on notice to you.
23.5 SURVIVAL
The following sections survive termination for any reason: Section 12 (No Refunds, in respect of fees already paid), Section 14 (No Chargebacks), Section 15 (Membership Agreement and NDA obligations), Section 18 (Limitation of Liability), Section 19 (Indemnification), Section 20 (Intellectual Property and Confidentiality), Section 21 (Data Protection), Section 22 (Governing Law), and this Section 23.
24. ELECTRONIC ACCEPTANCE AND CONTACT
24.1 ELECTRONIC ACCEPTANCE
These Terms may be presented and accepted electronically. Ticking the acceptance checkbox and completing checkout, or signing the Membership Agreement electronically or by hand, constitutes a legally binding expression of consent with the same effect as a handwritten signature under applicable German and EU law, including Regulation (EU) No 910/2014 (eIDAS). 982 retains records of acceptance, including the date and time, the email address and account used, and, where available, the IP address, and these records constitute sufficient evidence of acceptance.

25. ACKNOWLEDGMENT
By applying, paying, accepting these Terms at checkout, signing the Membership Agreement, or using any 982 service, you acknowledge that you have read, understood, and agreed to these Terms in full, and in particular:
That the Annual Access Fee is the price of your membership for the year, and the Trip is a benefit you may redeem against, not a separate purchase (Section 3).
That the fee is redeemable against a Trip but is not refundable in cash under any circumstances (Sections 3.4 and 12).
That Membership Services begin immediately on payment and Onboarding and are delivered continuously, with independent value separate from any Trip (Section 5).
That no pro-rata or partial refund is owed based on when you joined, when you left, or how much you used (Section 5.4).
That, where you purchase for business purposes, you are not a consumer and have no statutory right of withdrawal (Section 6).
That payment by a company on your behalf gives that company no rights and does not change your personal obligations (Section 7).
That if you do not book a Trip by the deadline, the fee is fully consumed as payment for your membership for the year (Section 11.4).
The consumer waiver of the right of withdrawal under section 356(5) BGB, where applicable (Section 13).
The no-chargeback undertaking and its consequences (Section 14).
